Scottish Radio Holdings is planning to buy the remaining 76 per cent of Today FM it does not yet own for £36 million sterling.
The deal will make the company the sole shareholder of Today FM.
The Broadcasting Commission and the Minister for Enterprise, Trade and Employment, Ms Harney still have to give final approval for the deal.
