Irish education software group Riverdeep is to buy US-based software firm Teacher Universe for $1 million cash and 500,000 Riverdeep shares.
Teacher Universe is a wholly owned subsidiary of Knowledge Universe.
The company also said it has entered into a preferred partnership with Knowledge Universe, whereby the two companies will co-promote each other's products and solutions.
This deal is expected to close within 30 days.
