The Competition Authority has cleared Kingspan's acquisition of timber frame house manufacturer Century Homes.
Kingpsan had announced the acquisition of Century Homes in March.
Kingspan will pay €91 million for Century, €67 million of which is to be paid on completion, with a further €24 million if profit targets are reached.
Century Homes had sales of €67.1 million in 2004.
